Client Work
Unless otherwise specified in a service agreement, upon full payment:
- •Clients receive full ownership of custom code and deliverables created for them
- •We retain ownership of pre-existing tools, frameworks, and methodologies
- •We may retain the right to use anonymised case studies for marketing purposes
Payment Terms
Payment terms are specified in individual service agreements. Generally:
Late payments may incur interest and may result in suspension of services.
Confidentiality
We treat all client information as confidential. We will not disclose confidential information to third parties without your consent, except as required by law or as necessary to provide our services (e.g., subcontractors under NDA).
Limitation of Liability
To the maximum extent permitted by law, Shipped Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.
Warranties and Disclaimers
We provide services with reasonable skill and care. However, we do not warrant that:

- •Services will be uninterrupted or error-free
- •Any specific results or outcomes will be achieved
Third-party services (APIs, hosting, etc.) are subject to their own terms and we are not responsible for their availability or performance.
Termination
Either party may terminate an engagement according to the terms of the specific service agreement. Generally:
- •Retainers may be cancelled with 30 days written notice
- •Sprint projects may be paused or cancelled with payment for work completed
- •Either party may terminate immediately for material breach
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes shall be resolved through good faith negotiation or, if necessary, through arbitration in accordance with the rules of the American Arbitration Association.
Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our website or services after changes constitutes acceptance of the modified terms.
